Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern access to and use of Propler websites, applications, and related services (the "Services") operated by Propler ("we," "us," or "our"). By creating an account or using the Services, you agree to these Terms and our Privacy Policy.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. You may not use the Services if you are barred under applicable law.

3. Accounts and security

You are responsible for accurate registration information and for maintaining the confidentiality of your credentials. Notify us promptly of unauthorized access. We may suspend accounts that violate these Terms or pose security risk.

4. Subscriptions, billing, and trials

Paid plans, usage packs, and add-ons are billed according to the pricing presented at checkout or in your workspace. Subscriptions renew automatically unless canceled before the renewal date. Fees are processed through our payment provider (Stripe).

Trials and promotional offers may be modified or discontinued. After a trial, you may be charged unless you cancel. Taxes may apply. Refunds are handled according to our refund policy stated at purchase or in your account.

5. Acceptable use

You agree not to:

• Violate law or third-party rights, including intellectual property, privacy, and fair housing obligations.
• Upload malware, spam, or deceptive content.
• Attempt to probe, scan, or compromise the Services or other accounts.
• Reverse engineer the Services except where permitted by law.
• Resell or sublicense the Services without authorization.
• Use the Services to harass, discriminate, or publish unlawful listing or lead practices.

6. Your content and listings

You retain ownership of customer content you submit. You grant us a worldwide, non-exclusive license to host, store, reproduce, and display customer content solely to provide and improve the Services, including backups and technical delivery.

You are solely responsible for the accuracy of listing information, disclosures, and marketing claims on your sites. You must have rights to photos, copy, and data you publish.

7. Leads, contacts, and communications

When you collect leads or contacts through the Services, you are responsible for lawful collection, consent, and follow-up practices (including CAN-SPAM, TCPA, and local real estate regulations where applicable). We process lead data on your instructions as part of the Services.

8. Teams, agents, clients, and permissions

Workspace owners control invitations, roles, and seat limits for team members, broker agents, photographer/marketer clients, and collaborators. You are responsible for access you grant and for activity under your workspace.

9. AI features

AI-generated suggestions are provided for convenience and may be inaccurate. You are responsible for reviewing AI output before publishing. AI usage may consume credits or be subject to usage limits. Do not submit sensitive personal data you are not permitted to share.

10. Domains and third-party services

Domain registration, DNS, and third-party integrations may be subject to separate provider terms. We are not responsible for third-party outages or policies.

11. Our intellectual property

The Services, including software, templates, design, and documentation, are owned by Propler or licensors and protected by intellectual property laws. These Terms do not grant you rights to our trademarks or brand except as needed to use the Services.

12. Feedback

If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

13. Service availability

The Services are provided on an "as available" basis. We may modify, suspend, or discontinue features with reasonable notice where practicable. We strive for reliability but do not guarantee uninterrupted access.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPLER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THAT PERIOD (OR ONE HUNDRED U.S. DOLLARS IF GREATER LIABILITY IS NOT PERMITTED).

16. Indemnification

You will defend and indemnify Propler against claims arising from your customer content, sites, lead practices, or violation of these Terms or law, including reasonable attorneys' fees.

17. Termination

You may cancel your subscription through account settings. We may suspend or terminate access for breach, non-payment, or risk to the Services. Upon termination, your right to use the Services ends; provisions that should survive will survive.

18. Dispute resolution and governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except where mandatory consumer protections apply in your jurisdiction.

Disputes will be resolved in the state or federal courts located in Delaware, unless we agree otherwise or applicable law requires a different forum.

19. Export compliance

You may not use the Services in violation of export control or sanctions laws.

20. Miscellaneous

These Terms constitute the entire agreement regarding the Services and supersede prior agreements on the subject. If a provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without consent; we may assign in connection with a corporate transaction.
